On February 7, 2025, TechnoPro Holdings, Inc. Board of Directors has resolved to pay the interim dividend to its shareholders of record as of December 31, 2024.

2. Reason
TechnoPro Holdings, Inc.’s basic capital policy is to distribute profits, linked to business performance, to its shareholders at the dividend payout ratio of 50% or higher, as well as to maximize its shareholder value over the medium and long term by investing in the growth areas, including sustainable growth of engineering professional services, acceleration of solution business, promotion of engineer training business, commercialization of DX promotion business, global expansion and M&A activities in an effort to create value by realizing investment return beyond cost of capital.
Based on this basic stance and comprehensive consideration of the current business performance and financial conditions, TechnoPro Holdings declared an interim dividend of ¥30.00 per share for the fiscal year ending June 30, 2025, the same amount as in the latest forecast. In terms of the year-end dividend for FY25.6, TechnoPro Holdings reaffirmed its previously announced year-end dividend forecast of ¥60.00 per share (total annual dividend of ¥90.00 per share, including interim dividend of ¥30.00: annual dividend payout ratio of 50.9%%).
